Terms and Conditions
Effective date: 15 August 2026
These Terms & Conditions ("Terms") apply to your use of the Tribute Director website, customer account, online services, purchases, subscriptions, downloads, support services and related services.
Tribute Director is operated by Groove DJs Entertainment Limited], trading as Tribute Director ("Tribute Director", "we", "us" or "our").
By accessing our website, creating an account, placing an order, purchasing a licence or subscription, or otherwise using our online services, you agree to these Terms.
If you do not agree to these Terms, you must not purchase or use the relevant services.
1. Other Terms That Apply
These Terms should be read together with our:
- End User Licence Agreement ("Licence Agreement"); and
- Privacy Policy .
The Licence Agreement governs your installation and use of the Tribute Director software ("Software").
The Privacy Policy explains how we collect, use, store and disclose personal information.
These Terms primarily govern your use of our website, customer account, purchasing, billing, subscriptions, downloads and support services.
If there is an inconsistency between these Terms and the Licence Agreement in relation to your right to install or use the Software, the Licence Agreement will apply to that issue.
2. Eligibility and Authority
You must have legal capacity to enter into a binding agreement in order to make a purchase from Tribute Director.
If you create an account or make a purchase on behalf of a company, funeral home, organisation or other legal entity, you confirm that you have authority to act on behalf of that entity.
3. Customer Accounts
You may be required to create a Tribute Director customer account to purchase, download, activate or manage the Software.
You agree to provide accurate and reasonably current information when creating or maintaining your account.
You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account where that activity results from your failure to take reasonable steps to protect those credentials.
You must notify us promptly if you believe your account or credentials have been accessed or used without authorisation.
You must not:
- create an account using false or misleading information;
- impersonate another person or organisation;
- allow an unrelated person or organisation to use your account to obtain licence rights they have not purchased;
- attempt to access another customer's account without permission; or
- use an account for fraudulent or unlawful purposes.
4. Products and Services
Tribute Director may offer products and services including:
- perpetual software licences;
- subscription software licences;
- software update or upgrade entitlements;
- trial, evaluation or promotional licences;
- technical support;
- software downloads;
- documentation and training resources; and
- other related products or services that we may introduce from time to time.
The features, licence duration, installation limits, subscription period and other material conditions applying to a product will be described on the relevant product, pricing or checkout page or in the Licence Agreement.
5. Software Licences
Purchasing Tribute Director gives you a licence to use the Software rather than ownership of the Software itself.
Your right to install and use Tribute Director is governed by the Tribute Director End User Licence Agreement .
By purchasing, downloading, installing, activating or using Tribute Director, you agree to comply with the Licence Agreement applicable to your licence.
6. Perpetual Licences
A perpetual licence permits continued use of the Software version or versions covered by that licence, subject to the Licence Agreement.
A perpetual licence does not necessarily include unlimited access to every future major version, feature, upgrade or update.
Your purchase may include an update entitlement for a specified period.
If an update entitlement expires, you may continue using a version covered by your valid perpetual licence, but access to later versions may require renewal of your update entitlement or an additional purchase.
7. Subscription Licences
Subscription licences provide access to the applicable Software and entitlements for the subscription period shown at the time of purchase.
Where a subscription is described as automatically renewing, it will continue for successive subscription periods until cancelled, subject to the payment platform and terms presented at purchase.
You authorise the relevant payment provider to charge the payment method associated with your subscription for applicable renewal charges until you cancel the subscription.
We will not convert a one-off or perpetual licence purchase into a recurring subscription unless you have expressly agreed to a recurring subscription.
8. Cancelling a Direct Subscription
If you purchased a subscription directly through the Tribute Director website, you may cancel future automatic renewal through any cancellation facility provided in your customer account or by contacting us.
Cancellation prevents the next renewal charge but does not ordinarily terminate the subscription immediately.
Unless otherwise stated or required by law, you may continue using the subscription until the end of the period you have already paid for.
Cancellation does not automatically entitle you to a refund for the unused portion of a current subscription period unless:
- we expressly agree otherwise;
- the terms of a particular offer provide otherwise; or
- a refund or other remedy is required by applicable law.
9. Apple App Store Subscriptions
Where Tribute Director is purchased through the Apple App Store, payment, subscription renewal, cancellation and applicable refund processing are administered by Apple.
You must use your Apple account or Apple's applicable subscription management process to manage or cancel an App Store subscription.
We cannot directly cancel an Apple App Store subscription or alter charges made to your Apple account.
10. Orders
Placing an order through the Tribute Director website constitutes an offer to purchase the selected product or service on the terms presented at checkout.
An order is not necessarily accepted merely because you submit payment details.
We may decline or cancel an order before fulfilment where reasonably necessary, including where:
- payment cannot be authorised;
- the transaction appears fraudulent or unauthorised;
- an obvious pricing or product description error has occurred;
- the product is no longer available;
- we are legally prohibited from completing the transaction; or
- the order has been placed in breach of these Terms.
If we cancel an order after receiving payment and no product or service has been validly supplied, we will refund the relevant amount.
11. Prices
Prices are displayed in the currency identified on the website or during checkout.
Before completing your purchase, you are responsible for checking:
- the product selected;
- the licence type;
- the billing period, where applicable;
- the displayed currency;
- the total price; and
- any applicable taxes or other charges shown at checkout.
We may change our prices from time to time.
A price change does not retrospectively alter the price of a completed purchase.
12. GST and Taxes
Prices and checkout information will indicate the applicable treatment of GST or other taxes where required.
You are responsible for any taxes, duties or charges applicable to your purchase in your jurisdiction except to the extent that we or our payment provider are legally required to collect and remit them.
Where we are required to collect New Zealand Goods and Services Tax (GST), it will be charged and accounted for in accordance with applicable New Zealand law.
13. Payment
Direct online payments may be processed by Stripe or another payment service provider identified during checkout.
By submitting a payment, you confirm that:
- you are authorised to use the selected payment method;
- the billing information you provide is accurate; and
- you authorise the payment provider to process the relevant charge.
Payment processing services may be subject to the payment provider's own terms and privacy practices.
14. Failed and Declined Payments
If a payment is declined, expires or cannot otherwise be completed, we may withhold delivery, activation, renewal or continued access to the relevant product or subscription until valid payment is received.
In the case of a recurring subscription, we or our payment provider may make reasonable further attempts to collect an outstanding renewal payment.
Where a subscription cannot be successfully renewed, it may expire or enter any applicable grace period before access requiring an active subscription is disabled.
15. Chargebacks and Reversed Payments
If payment for a licence or subscription is reversed, charged back, refunded or otherwise withdrawn after a product has been supplied, we may suspend the associated licence or subscription while the payment status is investigated.
We will not suspend or revoke a licence solely because you have made a genuine good-faith enquiry or exercised a legal right to dispute a transaction.
Fraudulent or abusive chargebacks may result in suspension or termination of the affected account or licence in accordance with the Licence Agreement.
16. Delivery of Software
Tribute Director is principally supplied electronically.
Following a successful Direct purchase, you may receive access through:
- your Tribute Director customer account;
- a protected download page;
- a download link;
- a licence activation process; or
- another electronic delivery method specified by us.
You are responsible for providing a valid email address and ensuring that you can access the account or email address associated with your purchase.
17. Licence Activation
Direct versions of Tribute Director may require internet access for initial licence activation and periodic licence validation.
The number of permitted activations is determined by the licence type purchased and the Licence Agreement.
Activation and deactivation requirements are described in greater detail in the Licence Agreement.
18. Trials and Evaluation Versions
We may offer free trials, demonstrations or evaluation licences.
Trial products may:
- expire after a specified period;
- have limited functionality;
- restrict certain features;
- require account registration; or
- be subject to other conditions stated when the trial is offered.
Offering a trial does not require us to continue offering that trial indefinitely.
19. Refunds and Change of Mind
We want customers to understand Tribute Director before purchasing it and encourage you to review product information, system requirements and available demonstrations, documentation or trial versions before purchasing.
Unless otherwise stated, we do not guarantee refunds solely because:
- you change your mind;
- you decide you no longer require the Software;
- you purchase the wrong licence despite the product being accurately described;
- your circumstances change; or
- you find another product or service you prefer.
We may nevertheless provide a discretionary refund where we consider it reasonable in the circumstances.
Nothing in this section limits any refund, repair, replacement, cancellation, compensation or other remedy that you are entitled to under applicable law.
20. Faulty Software and Consumer Remedies
If Tribute Director does not operate as required by a consumer guarantee or other mandatory right that applies to your purchase, you may be entitled to a remedy under applicable law.
Depending on the circumstances and applicable law, a remedy may include repair, replacement, refund, cancellation or compensation.
Nothing in these Terms excludes, restricts or modifies any statutory guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
21. New Zealand Consumer Rights
New Zealand customers may have rights under legislation including the Consumer Guarantees Act 1993 and Fair Trading Act 1986.
Nothing in these Terms is intended to exclude or limit rights or remedies that cannot lawfully be excluded or limited.
If you purchase Tribute Director for business purposes, the application of consumer protection legislation will depend on the circumstances and applicable law.
22. Customers Outside New Zealand
Tribute Director may be available to customers outside New Zealand.
You are responsible for complying with laws applicable to your use of the Software in your jurisdiction.
You may also have mandatory consumer rights under the laws of the country or region where you reside.
Nothing in these Terms is intended to exclude a mandatory local consumer right where that right cannot lawfully be excluded by contract.
23. Compatibility and System Requirements
You are responsible for checking the published system requirements and compatibility information before purchasing Tribute Director.
Software compatibility may depend on matters including:
- computer model and hardware;
- operating system version;
- available storage and memory;
- audio and display hardware;
- media formats and codecs;
- network configuration; and
- third-party hardware and software.
We may update system requirements as the Software develops.
We do not guarantee compatibility with every hardware configuration, peripheral, third-party application or operating system version.
24. Software Updates
We may make updates available to improve reliability, security, compatibility or functionality.
Some updates may be necessary for continued access to online services, licensing systems or newly introduced functionality.
Availability of an update may depend on your licence type, subscription status or update entitlement as described in the Licence Agreement.
25. Support
We may provide technical support through channels identified on the Tribute Director website.
Support may include assistance with matters such as:
- installation;
- activation;
- licensing;
- software operation;
- compatibility;
- fault diagnosis; and
- account access.
We may ask you to provide diagnostic information reasonably required to investigate a support issue.
Support does not include an obligation to repair or configure unrelated third-party hardware, networks, operating systems or software.
26. Funeral and Memorial Content
Tribute Director allows users to work with funeral, memorial, ceremony and other media content.
You remain responsible for the media and information that you load into or present using the Software.
Tribute Director does not obtain ownership of your photographs, videos, music, slideshows, documents or other user content merely because you use the Software.
Further terms relating to user content and media rights are contained in the Licence Agreement.
27. Copyright and Media Licensing
Purchasing Tribute Director does not grant you any licence to reproduce, perform, broadcast, livestream or otherwise use third-party music, video, photographs, lyrics or other copyrighted material.
You are responsible for ensuring that you or the organisation for which you are operating Tribute Director has any content licences, permissions or authorisations required for the intended use.
28. Website Use
You may use the Tribute Director website for lawful purposes connected with learning about, purchasing, downloading, managing or obtaining support for Tribute Director products and services.
You must not:
- use the website unlawfully or fraudulently;
- attempt to gain unauthorised access to our systems or another customer's account;
- introduce malware, malicious code or other harmful material;
- deliberately interfere with the operation or security of the website;
- scrape or extract protected account, licence or customer information without authorisation;
- circumvent website, download or licensing security measures; or
- use automated systems in a manner that materially disrupts our services.
29. Website Availability
We aim to keep our website, customer portal and licensing services reasonably available but cannot guarantee uninterrupted availability.
Services may occasionally be unavailable because of:
- maintenance;
- security updates;
- software or infrastructure faults;
- hosting or network outages;
- third-party service failures;
- emergency maintenance; or
- events outside our reasonable control.
Where reasonably practicable, we will seek to minimise disruption to services that are necessary for licence validation or customer access.
30. Website Information
We take reasonable care to keep information on the Tribute Director website accurate and current.
However, website content may occasionally contain typographical errors, outdated screenshots, minor inaccuracies or information relating to a version of the Software different from the version you are using.
Material product features, limitations and prices presented to you at checkout form part of the information relevant to your purchase.
31. Intellectual Property
Unless otherwise identified, the Tribute Director website, Software, documentation, branding, logos, designs, graphics, text and other proprietary material are owned by or licensed to [LEGAL ENTITY NAME].
You may not reproduce, republish, distribute, commercially exploit or create derivative works from protected Tribute Director material except:
- as permitted by the Licence Agreement;
- for ordinary personal reference;
- where we have given permission; or
- where applicable law otherwise permits it.
32. Third-Party Links and Services
Our website may link to or integrate with third-party services.
These may include payment providers, Apple services, video services, support resources or other external websites.
Third-party services operate under their own terms, policies and availability.
We are not responsible for the independent content or operation of a third-party website merely because we provide a link to it.
33. Privacy
Our collection and handling of personal information is described in the Tribute Director Privacy Policy:

34. Account or Service Suspension
We may temporarily restrict or suspend an account, licence or online service where reasonably necessary to:
- protect the security of the account or our systems;
- investigate suspected fraud or unauthorised access;
- investigate material licence abuse;
- respond to an unpaid or reversed transaction;
- comply with a legal requirement; or
- address a material breach of these Terms or the Licence Agreement.
Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before permanent action is taken, unless immediate action is reasonably necessary for security, fraud prevention or legal compliance.
35. Termination of an Account
You may request closure of your Tribute Director customer account.
Closing a website account does not automatically create a right to a refund and does not necessarily remove records we are required or reasonably entitled to retain for accounting, licensing, security or legal purposes.
Where technically and legally appropriate, we will assist you with access to valid licence entitlements associated with your account.
36. Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that qualification, we are not responsible for loss caused solely by matters outside our reasonable control, including:
- failure of your computer or storage device;
- third-party hardware or software failure;
- internet or local network failure;
- electrical or venue infrastructure failure;
- corrupted or incompatible media supplied by you;
- unauthorised modification of the Software; or
- failure to follow reasonable operational or backup practices.
Where you acquire Tribute Director for business purposes and applicable law permits liability to be limited, our aggregate liability arising from the relevant product, service or transaction will not exceed the amount paid by you for that product or service during the twelve months immediately preceding the event giving rise to the claim.
The preceding limitation does not apply where liability cannot lawfully be excluded or limited.
37. Live Event Responsibility
Tribute Director is designed to assist operators during live services and events.
Because live production depends on multiple systems and circumstances, you are responsible for taking reasonable precautions before an important service, including checking media, testing playback and outputs, maintaining appropriate backups and confirming that required hardware is operating correctly.
Further operational provisions are contained in the Licence Agreement.
38. Events Outside Our Reasonable Control
Neither party will be responsible for failure to perform an obligation to the extent that performance is prevented by an event outside that party's reasonable control, except for payment obligations already due.
Such events may include significant network outages, natural disasters, widespread infrastructure failures, government action or similar events that could not reasonably have been prevented.
39. Complaints and Dispute Resolution
If you have a concern about a purchase, licence, subscription or service, please contact us first so that we have an opportunity to investigate and resolve the matter.
Please provide sufficient information for us to identify the relevant account, order or licence and understand the issue.
Nothing in this section prevents you from exercising any right to use a court, tribunal, consumer protection body or other dispute resolution process available to you under applicable law.
40. Changes to Products and Services
We may develop, update, replace or discontinue products, features and services over time.
Where a change materially affects a paid ongoing subscription or service, we will provide reasonable notice where appropriate.
We will not retrospectively convert a valid perpetual licence into a subscription licence merely by changing these Terms.
41. Changes to Subscription Pricing
We may change subscription pricing for future billing periods.
Where a price change affects an existing automatically renewing Direct subscription, we will provide reasonable notice before the new price applies where required by law or appropriate in the circumstances.
If you do not wish to renew at the new price, you may cancel renewal before the next applicable billing date.
Apple App Store subscription price changes are also subject to Apple's applicable processes and requirements.
42. Changes to These Terms
We may update these Terms from time to time to reflect changes to:
- our products or services;
- our purchasing or licensing systems;
- payment methods;
- app distribution;
- legal or regulatory requirements; or
- our business operations.
The current version will be published on the Tribute Director website and will display its effective or last-updated date.
Changes will not retrospectively remove rights that have already accrued under a completed purchase where doing so would be unlawful.
Where a material change affects an ongoing paid service or subscription, we may provide additional notice where appropriate.
43. Electronic Communications
You agree that account, purchasing, licensing and service communications may be provided electronically, including through:
- email;
- your Tribute Director customer account;
- the Tribute Director application; or
- our website.
You are responsible for keeping the email address associated with your account reasonably current.
44. Assignment and Business Transfers
You may not assign or transfer your contractual rights in a way that transfers a Tribute Director software licence except as permitted by the Licence Agreement or applicable law.
We may transfer our rights and obligations under these Terms as part of a legitimate sale, restructuring or transfer of the Tribute Director business, provided that doing so does not unlawfully reduce your existing contractual rights.
45. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent reasonably necessary to make it enforceable where possible.
The remaining provisions will continue in effect.
46. No Waiver
If either party does not immediately enforce a right under these Terms, that does not mean that the right has been waived.
47. Entire Agreement
These Terms, together with the Licence Agreement, Privacy Policy, applicable purchase information and any specific terms expressly presented to you when purchasing a product or service, form the agreement relating to your purchase and use of Tribute Director.
48. Governing Law
These Terms are governed by the laws of New Zealand.
Subject to any mandatory rights available to you under applicable law, disputes relating to these Terms are subject to the jurisdiction of the courts of New Zealand.
