Tribute Director End User Licence Agreement

Effective date: 15 August 2026

This End User Licence Agreement ("Agreement") is a legal agreement between you ("you", "your" or "Licensee") and Groove DJs Entertainment Limited, trading as Tribute Director ("Tribute Director", "we", "us" or "our"), concerning your download, installation, activation and use of the Tribute Director software application and associated services ("Software").

By purchasing, downloading, installing, activating or using the Software, or by otherwise indicating your acceptance of this Agreement, you agree to be bound by its terms.

If you are accepting this Agreement on behalf of a company, funeral home, organisation or other legal entity, you confirm that you have authority to bind that entity to this Agreement.

If you do not agree to this Agreement, you must not install, activate or use the Software.

1. About Tribute Director

Tribute Director is a professional media playback and presentation application designed to assist with the preparation and operation of funerals, memorial services, ceremonies and similar events.

Depending on the version and features available, Tribute Director may provide functionality including music playback, video playback, slideshows, still images, lyrics and text display, service running orders, external display output, presentation control and local-network remote control.

2. Licence, Not Sale

Tribute Director is licensed to you, not sold.

Subject to payment of applicable fees and your compliance with this Agreement, Tribute Director grants you a limited, non-exclusive, non-transferable and revocable licence to install and use the Software in accordance with:

  • this Agreement;
  • the licence type you have purchased;
  • the number of authorised installations, users or devices applicable to your licence;
  • any applicable subscription or update entitlement; and
  • any applicable App Store usage rules where the Software was obtained through the Apple App Store.

All rights not expressly granted under this Agreement are reserved by Tribute Director.

3. Individual and Organisation Use

If a licence is purchased by an individual, it may be used by that individual subject to the installation limits associated with the licence.

If a licence is purchased by a funeral home, company or other organisation, authorised employees and contractors of that organisation may use the Software on its behalf, provided that:

  • the organisation remains responsible for their use of the Software;
  • the applicable licence limits are not exceeded; and
  • the licence is not shared with a separate organisation or unrelated third party.

4. Licence Types

4.1 Perpetual Licence

Where you purchase a perpetual licence, your right to use the version of Tribute Director covered by that licence does not expire solely because of the passage of time.

A perpetual licence does not necessarily include all future major versions, upgrades, new products or services.

Access to future updates may depend on the update entitlement included with your purchase or on the purchase of an additional update entitlement.

4.2 Subscription Licence

Where you purchase a subscription licence, your right to use the Software is subject to the subscription remaining current.

Subscription licences may be offered for specified billing periods, including annual periods, and may automatically renew where this is disclosed at the time of purchase and permitted by the relevant payment platform.

If a subscription expires or is cancelled, access to functionality requiring an active subscription may cease after the applicable subscription period or any grace period provided by Tribute Director.

4.3 Trial, Evaluation or Promotional Licences

Tribute Director may make trial, evaluation, demonstration, promotional or temporary licences available from time to time. Such licences may contain additional limitations, expiry dates or feature restrictions.

5. Software Updates and Upgrade Entitlements

Tribute Director may release maintenance updates, feature updates or new major versions of the Software.

Your licence may include access to updates for a specified entitlement period. When that entitlement period ends, you may continue using a version covered by a valid perpetual licence, but access to later versions or features may require renewal or purchase of a new update entitlement.

Subscription licences generally include updates made available for the relevant subscription product while the subscription remains active, unless otherwise stated at the time of purchase.

We may change, improve, replace or discontinue individual features as the Software develops, provided that we comply with any obligations imposed by applicable law.

6. Activation and Licence Validation

Directly licensed versions of Tribute Director may require activation and periodic licence validation.

Licence activation may associate your licence with an installation identifier, device identifier or similar technical identifier for the purpose of managing authorised installations and preventing unauthorised use.

The Software may periodically communicate with Tribute Director's licensing service to determine whether:

  • the licence is valid;
  • the licence or subscription remains current;
  • the installation is authorised;
  • the permitted activation limit has been exceeded; or
  • the licence has been suspended, revoked or deactivated.

A temporary grace period may be provided where the Software cannot contact the licensing service. The availability or duration of any grace period may depend on the applicable licence type and Software version.

7. Installation Limits

Your licence permits installation and activation only on the number of computers or devices specified for the licence or subscription you purchased.

You may deactivate an authorised computer where the Software provides that functionality and transfer an available activation to another computer that you are entitled to use.

You must not deliberately circumvent activation limits or use technical means to cause more installations to operate than your licence permits.

8. Permitted Use

Subject to this Agreement, you may use Tribute Director for lawful personal, professional or commercial purposes, including operating media and presentations for funerals, memorial services, ceremonies and related events.

You may make reasonable backup copies of installation files where permitted by the method through which the Software was supplied.

9. Restrictions

You must not, except where expressly permitted by applicable law:

  • copy, reproduce or distribute the Software except as permitted by this Agreement;
  • sell, sublicense, rent, lease or commercially redistribute your licence;
  • share licence credentials or activation information with an unauthorised person or organisation;
  • circumvent, disable, tamper with or interfere with the licensing or activation system;
  • reverse engineer, decompile, disassemble or attempt to derive the source code of the Software;
  • modify the Software or create derivative works from it without our written permission;
  • remove or alter copyright, trademark or proprietary notices;
  • use the Software to infringe another person's intellectual property or other legal rights;
  • interfere with, attack or attempt unauthorised access to Tribute Director's servers or services; or
  • use the Software for any unlawful purpose.

10. Funeral and Memorial Media

Tribute Director allows you to select and present media that may include photographs, music, audio recordings, video, slideshows, documents, lyrics, graphics and other material ("User Content").

You retain ownership of your User Content. This Agreement does not transfer ownership of your User Content to Tribute Director.

Tribute Director does not ordinarily upload or store the funeral, memorial or service media loaded into the Software simply because you use the application. Such content remains on your computer or storage devices unless you deliberately provide it to us, for example as part of a technical support request.

11. Rights to Music, Video and Other Content

Tribute Director provides software for presenting media. It does not grant you any copyright, public performance, reproduction, synchronisation, broadcast or other rights in third-party music, photographs, videos, lyrics or other content.

You are responsible for ensuring that you or the organisation for which you are operating the Software has any permissions, licences or other rights required to use the content presented through Tribute Director.

Tribute Director is not responsible for obtaining music, performance, reproduction, livestreaming, broadcast or other content licences on your behalf.

12. Remote Control and Local Network Features

Tribute Director may provide remote control functionality allowing another device, such as a smartphone or tablet, to communicate with the Software over a local network.

You are responsible for maintaining appropriate security over your local network and preventing unauthorised persons from accessing remote control functionality.

Network availability, Wi-Fi performance and third-party networking equipment are outside Tribute Director's direct control. Remote functionality may therefore be affected by local network conditions.

13. Operational Responsibility

Tribute Director is intended to assist a competent operator in managing and presenting media. It does not replace appropriate preparation and testing before a live service or event.

You are responsible for taking reasonable operational precautions, including:

  • checking that required media files are present and playable;
  • checking the service running order before use;
  • testing audio, video and external display output;
  • maintaining appropriate backups of important media and project files;
  • maintaining suitable computer hardware and storage capacity;
  • maintaining suitable power and network connectivity where required; and
  • keeping your operating system and relevant equipment in an appropriate operating condition.

We recommend that important services are prepared and tested in advance wherever reasonably practicable.

14. Third-Party Hardware and Software

Tribute Director may interact with or rely upon operating system features, displays, audio interfaces, storage devices, network equipment or other third-party hardware and software.

We cannot guarantee compatibility with every third-party product, configuration or future operating system version.

You must comply with any applicable third-party terms when using third-party products or services with Tribute Director.

15. Intellectual Property

Tribute Director, including its Software, source code, object code, interfaces, designs, graphics, trademarks, documentation and other proprietary material, is owned by or licensed to [LEGAL ENTITY NAME] and is protected by applicable intellectual property laws.

Nothing in this Agreement transfers ownership of Tribute Director or its intellectual property to you.

16. Support and Maintenance

Tribute Director may provide technical support and maintenance services in accordance with the support arrangements applicable to your licence, subscription or product.

Support may require us to request diagnostic information, application logs, screenshots, configuration information or other information reasonably necessary to investigate a problem.

Where you voluntarily provide media or personal information for support purposes, we will handle that information in accordance with our Privacy Policy.

17. Privacy

Information collected in connection with account registration, purchasing, licensing, activation, technical support and use of our online services is handled in accordance with the Tribute Director Privacy Policy.

18. Suspension and Revocation

We may suspend or revoke a licence where we reasonably determine that:

  • the licence was obtained fraudulently;
  • payment for the licence has been reversed, charged back or otherwise remains unpaid;
  • the licence or activation system has been deliberately circumvented or manipulated;
  • the licence is being shared or used materially beyond its permitted scope;
  • the Software or associated services are being used unlawfully; or
  • you have materially breached this Agreement and, where the breach is capable of remedy, have failed to remedy it within a reasonable period after being notified.

We will not revoke a valid perpetual licence merely because its update entitlement has expired.

19. Termination

You may terminate this Agreement at any time by ceasing use of the Software and removing it from your computers.

This Agreement and your licence rights may terminate if your licence is lawfully revoked under this Agreement.

On termination, you must cease using the Software unless you retain another valid licence permitting continued use.

Clauses concerning intellectual property, liability, User Content, governing law and other provisions which by their nature are intended to continue will survive termination.

20. Availability and Software Performance

We aim to provide reliable professional software but cannot guarantee that the Software will operate without interruption or error in every possible hardware, software, media or network configuration.

To the maximum extent permitted by law, we do not warrant that every media format, codec, peripheral, display, audio device, network configuration or third-party product will be compatible with every version of Tribute Director.

Nothing in this Agreement excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

21. Consumer Rights

If you acquire Tribute Director as a consumer, you may have rights and remedies under the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other applicable consumer protection laws.

Nothing in this Agreement is intended to exclude or limit any mandatory consumer guarantee, statutory right or remedy that cannot lawfully be excluded or limited.

Customers outside New Zealand may also have mandatory rights under the consumer protection laws of the country or region in which they reside. Where those rights cannot lawfully be excluded by this Agreement, they continue to apply.

22. Limitation of Liability

Nothing in this Agreement limits or excludes liability where doing so would be unlawful.

Subject to that qualification, Tribute Director will not be liable for loss that results solely from circumstances outside our reasonable control, including failure of third-party hardware, network connectivity, electrical supply, third-party services or media supplied by the user.

Where you acquire the Software for business purposes and applicable law permits liability to be limited, our aggregate liability arising from the Software or this Agreement will not exceed the amount you paid to us for the relevant Tribute Director licence or subscription during the twelve months immediately preceding the event giving rise to the claim.

The preceding limitation does not apply to liability that cannot lawfully be excluded or limited.

23. Refunds

Refund requests are handled in accordance with applicable law, the terms presented at the time of purchase and, where relevant, the rules of the platform through which the Software was purchased.

Purchases made through the Apple App Store are processed by Apple and may also be subject to Apple's applicable purchasing and refund processes.

24. Direct Purchases

Where Tribute Director is purchased directly from our website, payment may be processed by a third-party payment provider such as Stripe.

Your Tribute Director licence remains governed by this Agreement regardless of the payment provider used to process the transaction.

25. Apple App Store Purchases

This section applies only where you obtain Tribute Director through Apple's App Store.

25.1 Agreement with Tribute Director

You acknowledge that this Agreement is between you and [LEGAL ENTITY NAME], not Apple Inc. ("Apple"). Tribute Director, rather than Apple, is responsible for the Software and its content.

25.2 App Store Licence

Your licence to use an App Store version of Tribute Director is non-transferable and permits use on Apple-branded products that you own or control, subject to the applicable Apple Media Services usage rules, including any usage permitted through Family Sharing or volume purchasing where applicable.

25.3 Maintenance and Support

Tribute Director is responsible for providing maintenance and support for the Software to the extent required by this Agreement or applicable law. Apple has no obligation to provide maintenance or technical support for Tribute Director.

25.4 Warranty

Tribute Director is responsible for applicable warranties relating to the Software to the extent required by law.

If an App Store version of the Software fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price in accordance with its applicable policies and obligations. To the maximum extent permitted by law, Apple has no further warranty obligation concerning Tribute Director.

25.5 Product and Legal Claims

Tribute Director, rather than Apple, is responsible for addressing claims relating to the Software or your possession or use of it, including product liability, regulatory, consumer protection and privacy claims to the extent required by applicable law.

25.6 Intellectual Property Claims

If a third party claims that Tribute Director, or your authorised use of it, infringes that third party's intellectual property rights, Tribute Director, rather than Apple, will be responsible for addressing the claim to the extent required by applicable law.

25.7 Legal Compliance

You represent that you are not prohibited from receiving or using the Software under applicable United States export control or sanctions laws and that you are not listed on an applicable United States Government prohibited or restricted parties list.

25.8 Third-Party Terms

You must comply with applicable third-party agreements when using Tribute Director, including relevant Apple terms and terms applying to any network, hardware, software or service used with the Software.

25.9 Apple as Third-Party Beneficiary

You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement in relation to an App Store version of Tribute Director and may enforce the applicable provisions of this Agreement against you.

26. Changes to this Agreement

We may update this Agreement where reasonably necessary to reflect changes to the Software, licensing arrangements, distribution methods, legal requirements or our services.

Changes will not retrospectively remove rights already granted under a fully paid perpetual licence without a legitimate reason permitted by law.

Where a material change affects an ongoing subscription or materially changes your rights or obligations, we will provide reasonable notice where appropriate.

27. Transfer of Licence

You may not sell, sublicense or otherwise transfer a Tribute Director licence to another person or organisation without our prior written approval, except where transfer is expressly permitted by applicable law or applicable App Store rules.

If a business holding a Direct licence is sold or reorganised, you may contact us to request transfer of the licence to the successor entity. Approval will not be unreasonably withheld where the licence continues to be used for substantially the same business and no additional licence rights are being created.

28. Severability

If any provision of this Agreement is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue in effect.

29. No Waiver

A failure or delay by either party to enforce a provision of this Agreement does not waive that party's right to enforce that provision later.

30. Entire Agreement

This Agreement, together with any terms expressly incorporated into it and any applicable purchase or subscription terms, constitutes the agreement governing your licence to use Tribute Director.

31. Governing Law

This Agreement is governed by the laws of New Zealand.

Subject to any mandatory rights available to consumers under applicable local law, disputes arising from this Agreement will be subject to the jurisdiction of the courts of New Zealand.
